New legislation is in place for incorporated societies

To continue operating as an incorporated society after 5 April 2026, you need to reregister under the Incorporated Societies Act 2022 (the new Act). The new Act introduces new requirements for incorporated societies, but your society will not be subject to these until you have reregistered.

There are a few things an incorporated society will need to do before it reregisters, including drafting a compliant constitution. We have prepared content, videos and tools to help with this process.

Life after reregistration

After your incorporated society has reregistered, it must comply with the requirements in the new Act. Key ongoing compliance requirements include —

  • ensuring the structure requirements continue to be met
  • holding annual general meetings (AGMs) 
  • completing an annual return and filing financial statements, and
  • keeping certain society records.
